Terms of Service

Please read these Terms of Service carefully before using Lucy AI. These Terms form a binding legal agreement between you and Lucy AI, Inc.
1. Acceptance of Terms
By accessing or using Lucy AI, including our website, application, software, features, subscriptions, credits, or related services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree to these Terms, you may not access or use Lucy AI. These Terms apply to all users, including visitors, free users, beta users, trial users, paid subscribers, and business users.
2. Description of Service
Lucy AI is an AI software platform that provides an AI workspace with chat, governed memory, project continuity, writing assistance, research assistance, coding assistance, file analysis, creative tools, and related AI-powered workflows. Lucy may use third-party AI models, infrastructure providers, payment processors, and service providers to operate the Service. Lucy AI may modify, suspend, limit, or discontinue any part of the Service at any time. Some features may be released in beta, early access, or preview form and may change before general availability.
3. Eligibility
You must be at least 13 years old to use the Service. If you are under 18, you must have permission from a parent or legal guardian. By using Lucy AI, you represent that you meet these requirements and that all information you provide is accurate and complete.
4. User Accounts
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify Lucy AI promptly if you believe your account has been accessed without authorization. Lucy AI is not responsible for losses caused by your failure to safeguard your account credentials.
5. Acceptable Use
You agree not to use Lucy AI to: (a) violate any law, regulation, or third-party right; (b) submit harmful, abusive, defamatory, unlawful, deceptive, or otherwise objectionable content; (c) attempt to reverse engineer, decompile, extract, or copy source code, systems, prompts, models, architecture, or non-public functionality; (d) use the Service to build, train, benchmark, or improve a competing AI product or model without written permission from Lucy AI; (e) interfere with, overload, abuse, or disrupt the Service; (f) bypass usage limits, credits, billing systems, security controls, or access restrictions; (g) impersonate any person or entity; (h) upload malware, malicious code, or harmful files; or (i) use the Service for high-risk, unlawful, or safety-critical decisions without appropriate human review. Lucy AI may suspend or terminate accounts that violate these rules.
6. User Content
You retain ownership of the content you submit to Lucy AI, including messages, files, prompts, project information, and other materials you provide. You grant Lucy AI a limited license to host, process, transmit, display, and use your content solely as necessary to provide, maintain, secure, and improve the Service, subject to our Privacy Policy and applicable settings. Lucy AI does not sell your personal data or stored memories. You are responsible for ensuring that you have the right to submit any content you provide to the Service.
7. Lucy AI Intellectual Property
Lucy AI, including its software, design, interface, branding, workflows, prompts, architecture, documentation, logos, trademarks, and related technology, is owned by Lucy AI, Inc. or its licensors. Subject to these Terms, Lucy AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or internal business purposes. You may not copy, reproduce, sell, resell, sublicense, modify, distribute, or create derivative works from Lucy AI except as expressly permitted in writing.
8. Memory and Personalization
Lucy AI may store and use memory, preferences, project context, and related information to personalize your experience and provide continuity across sessions. Depending on the feature, memory may be created from information you provide, approve, edit, or save. You may be able to review, edit, or delete certain stored memories through the Service. Deleting a memory may prevent it from being used in future responses, although backup, audit, security, or legal retention systems may retain limited records as described in our Privacy Policy.
9. AI Outputs
Lucy AI generates responses using artificial intelligence. AI-generated outputs may be inaccurate, incomplete, outdated, misleading, or unsuitable for your specific situation. You are responsible for reviewing and verifying outputs before relying on them. Lucy AI does not provide legal, medical, financial, tax, investment, or other professional advice. You should consult a qualified professional before making important decisions based on AI-generated outputs.
10. Subscriptions, Credits, and Billing
Lucy AI may offer free plans, paid subscriptions, usage credits, add-on credit packs, trials, or other paid features. Paid subscriptions are billed on a recurring monthly or annual basis, depending on the plan selected at checkout. Subscriptions renew automatically unless cancelled before the renewal date. Credits may be used for eligible AI features, including chat, writing, research, coding assistance, file analysis, image/video generation, or other usage-based features. Monthly plan credits reset at the end of each billing period and do not roll over unless expressly stated. Add-on credit packs may expire after a stated period, such as 90 days from purchase, unless otherwise stated at checkout. Lucy AI may change pricing, plan features, credit amounts, or usage rules with notice where required by law. Changes will not affect charges already incurred.
11. Cancellations and Refunds
You may cancel your subscription through your account settings or by contacting support. Cancellation prevents future renewal charges but does not automatically refund prior charges. Refunds are handled on a case-by-case basis unless otherwise required by law. Add-on credits, used credits, partially used subscription periods, and promotional credits may be non-refundable unless stated otherwise at checkout. If you believe you were charged in error, contact support@trylucy.ai.
12. Third-Party Services
Lucy AI may integrate with or rely on third-party services, including AI model providers, cloud infrastructure, authentication providers, payment processors, analytics tools, or file processing services. Your use of third-party services may be subject to their own terms and policies. Lucy AI is not responsible for third-party services outside our control.
13. Privacy and Security
Your use of Lucy AI is also governed by our Privacy Policy. Lucy AI uses reasonable technical and organizational safeguards designed to protect user data. However, no system is completely secure, and Lucy AI cannot guarantee absolute security. You are responsible for using the Service in a safe and appropriate manner and for not submitting information you are not authorized to share.
14. Beta and Early Access Features
Some Lucy AI features may be made available in beta, preview, or early access form. These features may be incomplete, experimental, unavailable at times, or changed without notice. Beta features are provided for testing and feedback and may not be suitable for production or high-risk use.
15. Termination
Lucy AI may suspend or terminate your access to the Service if you violate these Terms, misuse the Service, create legal or security risk, fail to pay required fees, or otherwise use the Service in a way that may harm Lucy AI, users, or third parties. You may stop using the Service at any time. Sections that by their nature should survive termination will survive, including intellectual property, payment obligations, disclaimers, limitations of liability, and dispute provisions.
16. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise. Lucy AI does not warrant that the Service will be uninterrupted, error-free, secure, accurate, reliable, or free of harmful components. To the fullest extent permitted by law, Lucy AI disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
17. Limitation of Liability
To the maximum extent permitted by law, Lucy AI, Inc. and its officers, directors, employees, contractors, agents, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill. To the maximum extent permitted by law, Lucy AI's total liability for any claim relating to the Service will not exceed the greater of: (a) the amount you paid to Lucy AI in the 12 months before the claim arose; or (b) $100.
18. Indemnification
You agree to indemnify and hold harmless Lucy AI, Inc. and its officers, directors, employees, contractors, agents, affiliates, and service providers from any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party right.
19. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service will be handled in the state or federal courts located in Wyoming, unless applicable law requires otherwise.
20. Changes to Terms
Lucy AI may update these Terms from time to time. If we make material changes, we will provide notice by email, in-app notice, website notice, or another reasonable method. Your continued use of the Service after updated Terms become effective means you accept the updated Terms.
